1. Acceptance of Terms

By creating an account or using MentorFlow (the "Platform"), you agree to these Terms of Service, our Privacy Policy, and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and MentorFlow ("we," "us," or "our").

If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

MentorFlow is a platform that enables creators to share and monetize video content, and allows users to discover, purchase, and consume educational and entertainment content. Our services include:

• Video hosting and streaming
• Content monetization tools for creators
• Payment processing for purchases and subscriptions
• Direct messaging between users
• Creator subscription features
• Mobile applications for iOS and Android

3. Account Registration

3.1 Eligibility

You must be at least 13 years old to use MentorFlow. If you are under 18, you represent that you have your parent's or guardian's permission to use the Platform. Some features may require you to be 18 or older.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete information when creating your account
• Update your information to keep it accurate
• Notify us immediately of any unauthorized access to your account
• Not share your account credentials with others

3.3 Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. User Content

4.1 Content Ownership

You retain ownership of all content you create and upload to MentorFlow ("User Content"). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute your content solely for the purpose of operating and providing the Platform.

4.2 Content Standards

You agree that your User Content will not:

• Contain sexually explicit or pornographic material
• Promote violence, hate speech, or discrimination
• Infringe on any third party's intellectual property rights
• Contain false or misleading information
• Violate any applicable laws or regulations
• Harass, bully, or threaten others
• Contain malware, spam, or other harmful content
• Impersonate any person or entity

4.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we determine, in our sole discretion, is harmful to the Platform or other users. We will make reasonable efforts to notify you before removing content, except in cases of severe violations.

5. Creator Terms

5.1 Eligibility

To monetize content on MentorFlow, you must:

• Be at least 18 years old
• Have a verified account
• Complete Stripe Connect onboarding
• Comply with all applicable tax laws

5.2 Revenue Share

MentorFlow charges a platform fee of 5% on all transactions. Payment processing fees (charged by Stripe) are additional and deducted from your earnings. You will receive the remaining amount after these fees.

5.3 Payouts

Payouts are processed through Stripe Connect according to your payout schedule. You are responsible for providing accurate banking information and for any taxes associated with your earnings.

5.4 Pricing

You set the prices for your content and subscriptions. All prices are displayed in USD. We reserve the right to set minimum and maximum price limits.

6. Purchases and Payments

6.1 Payment Processing

All payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your full credit card details.

6.2 Refunds

Due to the digital nature of our content, all sales are generally final. Refund requests will be considered on a case-by-case basis for:

• Technical issues preventing access to purchased content
• Duplicate purchases
• Unauthorized transactions

6.3 Subscriptions

Creator subscriptions automatically renew until cancelled. You can cancel your subscription at any time through your account settings. Access continues until the end of the current billing period.

7. Intellectual Property

7.1 Our Intellectual Property

The Platform, including its design, features, and underlying technology, is owned by MentorFlow and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe content on MentorFlow infringes your copyright, please contact us at legal@mentorflow.app with:

• Description of the copyrighted work
• Location of the infringing content on our Platform
• Your contact information
• A statement that you believe the use is unauthorized
• A statement under penalty of perjury that your notice is accurate
• Your physical or electronic signature

8. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose
• Violate any laws or regulations
• Infringe on others' intellectual property rights
• Harass, abuse, or harm other users
• Share, download, or redistribute paid content without authorization
• Use automated systems to access the Platform
• Attempt to gain unauthorized access to our systems
• Interfere with the Platform's operation
• Create multiple accounts for abusive purposes
• Engage in fraudulent transactions

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We are not responsible for the accuracy, quality, or legality of User Content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENTORFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless MentorFlow and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your User Content, or your violation of these Terms.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@mentorflow.app to attempt to resolve the dispute informally.

12.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except for disputes that qualify for small claims court. You agree to waive your right to a jury trial and to participate in class actions.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes by posting the new Terms on this page and updating the "Last Updated" date. For material changes, we will provide additional notice through the Platform or via email.

Your continued use of the Platform after changes become effective constitutes acceptance of the new Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MentorFlow regarding the Platform.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
